Temu Affiliate Policy

This Temu Affiliate Policy (the “Policy”) is a “Policy” under the Temu Terms of Use (“TOU”). You (“Affiliate”, “you”, “your”, or similar) enter this Policy with the same party with which you entered the TOU (“Temu”, “us”, “we”, or similar). In the event of a conflict between this Policy and the TOU, the terms of this Policy shall control and govern. By signing up on Temu to participate in the Temu Affiliate Program (the “Program”), you agree to the terms and conditions of this Policy, including all attached Exhibits. You agree that we may modify this Policy at any time in our sole discretion by posting modifications on Temu.

Eligibility

To enter the Program, you must be an individual legal resident of Canada, at least 18 years old or the age of majority in your jurisdiction, whichever is greater, and of legal capacity to form a binding contract. The Program is only available in designated countries or regions. Changing your country/region on Temu may cause disqualification from the Program. The Program is void where prohibited, taxed, or restricted by law. Employees, officers, and directors of Temu and its parent company, subsidiaries, affiliates, partners, advertising and promotion agencies, and manufacturers and distributors of Program materials, and their immediate families (parents, children, siblings, spouse) and members of the same household (whether related or not) as such persons are not eligible to participate in the Program. You cannot participate in the Program if it would violate your employer’s policies.

Enrollment

We may accept or reject your application to join the Program in our sole discretion. If we determine for any reason that you are unsuitable for the Program, your application will be rejected. If your application is not accepted, you may reapply to the Program at any time. However, you shall not link to any Temu website or application unless you are approved for the Program.

The Program

Capitalized terms used in the Policy shall have the following meanings

(i)A “New App User” refers to a Temu user who (a) downloads and registers with Temu for the first time on the Temu application; or (b) uninstalls the Temu application and subsequently re-installs the application at least 14 day(s) after the uninstall. A user shall not qualify as a “New App User” according to (b) in the foregoing sentence more than once. Only Temu users who reside in the designated countries/regions as displayed on the Promotion page will be qualified as New App Users. A “New App User” will be considered to have been referred by you only if (a) they acquire New App User status by clicking your Referral Link within 1 hour of their action; or (b) they search for your Referral Code in the Temu application within 1 hour of acquiring New App User status.

(ii) A “New Web User” means a Temu user who registers with Temu for the first time on the Temu website. Only Temu users who reside in the designated countries/regions as displayed on the Promotion page will be qualified as New Web Users.

(iii) A “New User” refers to a New App User or a New Web User.

(iv) An “Existing App User” refers to a Temu application user who has downloaded and registered with Temu on the Temu application for more than 7 day(s) and is not qualified as a New App User.

(v) “Referral Link/Code” refers to a unique link/code we generate for each Affiliate and can be found on the Program page after you join the Program. You may only earn Affiliate Benefits on users referred through the Traffic Source of the provided channels via your Affiliate Link. In addition to the Traffic Sources listed on the Program page, other Traffic Source may also be accepted at our sole discretion. Further, not all links or posts under an approved Traffic Source/Channel will necessarily be acceptable. You may contact us for further details. No Traffic Source restrictions apply to referrals made using a Referral Code.

(vi) “Affiliate Benefits” refers to all the rewards, commission, bonus and any other form of benefits you may earn in this Program (including any sub-program and/or campaign), such as Affiliate Earnings and/or Affiliate Credit.

(vii)“Affiliate Earnings” refers to the Commission, New App User Bonus and/or other benefits earned in the Program and issued to your “Available Earnings” balance, which will be displayed in your account. Your Affiliate Earnings shall be earned and withdrawn subject to the limitations set forth in the attached Exhibit A (Affiliate Earnings Terms and Conditions), which Exhibit is incorporated in this Policy.

(viii) “Affiliate Credits” refers to the credits rewards earned in the Program and issued to your “Affiliate Credits” balance, which will be displayed in your account. Please note that Affiliate Credits, which can only be withdrawn as Temu Credits to your Temu user account, are not transferrable nor redeemable for cash. General rules set by Temu on Temu Credits will apply.

(ix)“Channel” or “Traffic Source” refers to a channel approved by Temu through which Affiliates may refer users under the Program via the Referral Links, including a social group, coupon or deals site, or other applicable channels.

(x)“Traffic Verification Process” refers to the process that you must complete after registration. During the Traffic Verification Process, you are required to provide the requested information and documentation related to one of the Channels you may use—such as the Channel link, profile screenshots, and other relevant materials—for Temu’s review. The review outcome shall be determined at Temu’s sole discretion and shall be binding on you. Please note that before you have passed the Traffic Verification Process, we may restrict the Channels you may use when making referrals via your Affiliate Link, and you will not be eligible to earn additional Affiliate Benefits once your “Available Earnings” balance has accumulated up to the designated threshold. Any additional Affiliate Benefits will be recognized but not be credited to your account until approval is granted. In addition, any Affiliate Benefits reflected in your “Pending” balance may not be transferred to your “Available Earnings” balance in accordance with the normal rules set forth in the Policy. If you fail to pass the Traffic Verification Process within the specified timeframe, your Affiliate account will be suspended. Upon suspension, you may no longer be able to participate in any campaigns or events under the Program or earn any Affiliate Benefits. In addition, any Affiliate Benefits that have not been transferred to your “Available Earnings” balance (e.g., those reflected in your “Pending” balance) will be forfeited. Notwithstanding the foregoing, you may, within a limited period specified by Temu, withdraw the amounts in your “Available Earnings” balance in accordance with this Policy. Upon expiration of such period, your Affiliate account will be permanently terminated, and any remaining balances will be forfeited and no longer be eligible for withdrawal.

You can earn the Temu commission (“Commission”) on the following orders (“Qualifying Orders”) once you complete the traffic verification process and the channel you use to refer users (each a “Channel”) has been reviewed and approved by Temu. To complete the verification process, you must select the type of your Channel (i.e., a social group, content blog, coupon&deals site, individual developer, or other channel) and provide the required information and documents—such as your Channel link, profile screenshots, and other relevant materials—for our review. The review outcome is determined at Temu’s sole discretion. The Commission can be earned only once per Qualifying Order.

(i) The first ten (10) orders placed by each New App User referred by you within 30 days of their New App User status being acquired;

(ii) The first one (1) order placed by each New Web User referred by you;

(iii) Other Qualifying Orders described in any sub-program.

If a Qualifying Order is made in a currency different than the currency used to calculate your Affiliate Earnings, then the Commission earned by you on such Qualifying Order will be converted into the currency used to calculate your Affiliate Earnings at the exchange rate displayed on the Program page when such Qualifying Order is made. The exchange rates between different currencies will be updated monthly.

You will also get a bonus for each New App User referred by you (“New App User Bonus”). The New App User Bonus will be credited to your “Pending” balance two days following the referral and will not be transferred to your “Available Earnings” balance until (i) the New App User referred by you makes their first Qualifying Order within 30 day(s) of acquiring New App User status; and (ii) 30 days have passed since the order has been confirmed as delivered.

If these conditions are not met, the New App User Bonus will be canceled by Temu.

The rates of Commission (“Commission Rate”) and any other Affiliate Benefits you may earn on Temu users residing in different countries/regions may be different. The detailed rules will be displayed on the Program page and/or stipulated in any sub-program/campaign rules.

If a Qualifying Order is cancelled, refunded, or returned, whether partially or in full, the Commission earned on such Qualifying Order will be canceled and forfeited. If such Commission has been withdrawn by you, Temu is entitled to get a refund of such amount from you.

Traffic Source Requirements.

For certain categories of Affiliates or specific promotional activities (e.g., Facebook Group administrators), Temu may require that traffic and resulting Qualifying Orders originate exclusively from pre-approved and designated sources (such as specific social media groups, websites, or links you provided and were approved during onboarding). Commissions for activations and orders from unapproved sources will not be recognized or settled. The specific requirements for your affiliate type will be communicated to you during onboarding and/or displayed on the Program page.

Restrictions

(i) Tracking Qualifying Orders and Qualifying Actions and Calculating Affiliate Benefits: Unless confirmed by Temu in writing, all tracking of Qualifying Orders and Qualifying Actions and calculation of Affiliate Benefits shall be provided and confirmed by Temu.

(ii) Chargebacks: Qualifying Orders and Qualifying Actions for Affiliate Benefits may be subject to cancellation or reversal by Temu (“Chargeback”) under the following scenarios, including but not limited to: (a) if a Qualifying Order or Qualifying Action is incomplete; (b) if a user cancels or returns a Qualifying Order or the Qualifying Orders of Qualifying Action IN FULL; (c) if a Qualifying Order or a Qualifying Action is made fraudulently or in an otherwise non-bona fide manner; (d) if a Qualifying Order or a Qualifying Action is carried out by a person who is outside the area serviced by Temu; (e) if Temu is unable to ship goods to a user in relation to a Qualifying Order or the Qualifying Order of Qualifying Action, or (f) other situations that Temu deems the requirements of Affiliate Benefits are not met. The period of time stated in Exhibit A or otherwise notified by Temu (“Locking Period”), is the time frame during which Temu may apply a Chargeback. Temu shall not be obligated to issue or pay for any Affiliate Benefits in case of any Chargeback occurs within the Locking Period. If such Affiliate Benefits of Chargeback are paid or issued by Temu, Temu shall be entitled to get a refund of such amount as calculated by Temu from you.

(iii) Temu may delay the issuance of any Affiliate Benefits for the purposes of investigation and may refuse to arrange for such issuance at Temu’s sole discretion, for any actions taken by Affiliates that are fraudulent, suspicious, or in violation of the terms of the Policy. All of Temu’s decisions are final and binding, including decisions as to whether the Referral Link/Code is approved pursuant to the terms of the Policy.

(iv) You shall not use or participate in the Program in a manner that violates any law, infringes or violates the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene or outside the spirit and intent of the Program, as such conduct will be grounds for immediate termination your participation in the Program and accordingly, Temu shall not be obligated to issue any Affiliate Benefits to you, and if any issuance have been made by Temu or any Affiliate Benefits have been used/withdrawn by you, Temu shall be entitled to get a refund of such amount from you. In addition, you may not act in an unfair or disruptive manner, or use any system, bot or other device or artifice to fulfill terms of the Policy or receive any Affiliate Benefits.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THESE TERMS MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, TEMU RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

(v) Affiliate Benefits shall be calculated based on the data provided by Temu at its sole discretion. In case there is any discrepancies in Affiliate Benefits calculated between Temu and you, you acknowledge and agree that Temu’s data with regards to the aforementioned discrepancies shall prevail. Temu shall provide the final confirmation of Affiliate Benefits. In case there is overinsurance of Affiliate Benefits, any overinsurance amount of Affiliate Benefits shall be refunded to Temu by you.

(vi) Temu may terminate your participation in the Program if any of your Sites uses Temu intellectual property or impersonates Temu without Temu’s consent, if you provide inaccurate or false information concerning a Site, or if any of your Sites has zero followers.

(vii) You Affiliate Benefits will be void if we find you engaging in activities that (i) fabricate, plagiarize or abuse Temu's official website, official account, logo or brand identity, (ii) fabricate, plagiarize or abuse any third party’s brand identity in Temu’s name, or (iii) promoting the Temu brand in an unauthorized way.

(viii)Any order placed by a customer on Temu will not be qualified as Qualifying Order, and any benefits or bonus promised will also be void, if it is based on any advertisement that you purchased through participation in bidding or auctions on any keywords, search terms, or identifiers, unless otherwise approved by us.

Taxes

All taxes applicable to any benefits provided by Temu under this Policy will be your responsibility and Temu shall not pay any amounts for federal, state, or municipal income tax, withholding tax, social security, unemployment, or worker’s compensation.

Representations and Warranties

(i) You represent, warrant, and covenant that (a) you will participate in the Program in accordance with this Policy, (b) the Policy (and as amended from time to time) constitutes a valid and binding agreement of Temu and you, (c) your participation in the Program will not violate any applicable laws, ordinances, rules, regulations, orders, guidelines, codes of practice, industry standards, self-regulatory rules, judgments, decisions, or other requirements of any governmental authority (including all such rules governing communications, data protection, advertising, and marketing), (d) you have the full right, power and authority to enter into the Program, and fully perform your obligations hereunder without violating the rights of any third parties, (e) you have independently evaluated the desirability of participating in the Program and are not relying on any representation, guarantee, or statement other than as expressly set forth in this Policy, (f) you will not participate in the Program or use any other service offerings if you are the subject of U.S. sanctions or of sanctions imposed by the governments of the country where you are using any service offering, (g) you will comply with all applicable export and re-export restrictions that may apply to goods, software, technology, and services, (h) all information you provide in connection with the Program is accurate and complete, and you shall, at all times, act honestly, diligently and in good faith in the execution, performance, and enforcement of this Policy, including but not limited to, you will not engage and has not engaged in any fraud, impersonation or any other dishonest behavior, (i) you shall not, during the term of this Policy and at any time thereafter, register, use, apply for, or attempt to register any trademark, trade name, service mark, logo, artwork, design, copy, or other intellectual property that is identical or confusingly similar to, or which could in any way infringe upon, Temu’s intellectual property, and (j) you will not commit and has not committed any act which would bring Temu into public disrepute, contempt, scandal, or ridicule, or which injures the success of Temu or any of Temu’s products or services or reduces the commercial value of Temu’s association with you, including, without limitation, disparaging Temu, its products or services, its cooperating business partners, or other any cooperating media/marketing platforms.

(ii) You agree that, in resolving disputes, Temu’s data shall prevail, and Temu’s data shall be used to determine whether you have violated the terms of this Policy (including but not limited to data anomalies terms) and breach of contract under this Policy.

(iii) You represent and warrant that there is and will be no Data Anomalies (as defined below) in any form when you are participating in the Program as stipulated in this Policy. You acknowledge that Temu has the right to determine whether you have violated this Section based on the tracking and monitoring methods selected and confirmed by Temu. If Temu finds any form of Data Anomalies or notices any form of possible Data Anomalies during or beyond the term of the Policy, Temu shall have the right to ask you to bear the liability arising from such breach of the Policy. For the Data Anomalies, if confirmed, Temu shall have the right not to issue you the Affiliate Benefits related to such data (that is, the Affiliate Benefits shall be revoked and returned to Temu) regardless of whether it is caused by you. If such Affiliate Benefits have been withdrawn/used, Temu shall have the right to request a refund of such amount from you.

(iv) “Data Anomalies” shall mean factually inaccurate data that is the product of gross negligence, willful misconduct, fraud or concealment, including but not limited to fabrication or falsification of data, provision of invalid data or other behaviors that cause data anomalies decided including but not limited by Temu itself. Invalid data and data anomalies shall mean data generated by non-human browsing of advertising materials, such as by machines or bots. This includes:

• Ad impressions, clicks, and page views generated without the user's knowledge.

• Ad monitoring requests triggered at the wrong time.

• Other traffic that Temu reasonably deems suspicious.

Invalid data and data anomalies include, but are not limited to, the following:

• Traffic from bots, crawlers (also known as "web spiders"), or other automated systems that are disguised as legitimate users, as well as traffic from non-browser user agents or other forms of unknown browsers.

• Traffic data that exceeds the frequency or time interval limits reasonably associated with human traffic, such as high-speed, continuous, or repeated requests that appear to be abnormal based on user behavior in advertising campaigns.

• Traffic with missing or inconsistent user agent information, or traffic from non-browser user agents or other forms of unknown browsers, or traffic that lacks key data information for valid traffic.

• Traffic where users are unable to see the normally delivered ad content due to hiding, stacking, covering, or other methods.

• Known traffic from data centers (traffic from specific network IPs or IP ranges that clearly originate from non-human access to advertising materials).

• Traffic from pre-fetching or browser previews of ads.

• Known traffic from high-risk or fraudulent sources.

• Traffic with missing or inconsistent basic information (at least event type, creative ID, timestamp, IP, request method, user agent UA field).

• Regular routine testing traffic initiated by the media owner on Temu-provided click links and landing pages.

• Traffic initiated by Temu or its representative in consultation with the media owner for testing purposes.

• Undisclosed bot and crawler traffic that highly simulates real human users.

• Traffic generated by plugins, malware, or other malicious software.

• Traffic generated through fraudulent proxy servers.

• Traffic intentionally nested and maliciously generated within web pages on domains different from the primary ad serving domain.

• Manipulation of measurement data for monetary gain.

• Traffic with falsified visibility exposure judgment attribute parameters.

• Hijacking of devices and sessions on devices.

• Illegal hijacking of ad creatives and manipulation of traffic.

• Content theft, forgery, and false display.

• Malicious modification, insertion, or deletion of cookie content to alter user access records.

• Manipulation or falsification of location data and related attributes.

• Invalid proxy traffic (i.e., invalid traffic from intermediary proxy devices, including traffic count manipulation through proxy devices, creation/transmission of non-human traffic, or traffic that cannot be verified by the protocol).

• Examples:

• A user generates a large number of impression or click logs for a particular ad in a short period of time, which is significantly different from normal browsing behavior. A user generates a click log without a corresponding impression log.

• The Referrer information in the impression or click logs contains URLs of media, channels, or pages outside the agreed-upon scope of the Parties. The Use Agent information in the impression or click logs contains operating system or browser information outside the agreed-upon scope of the Parties.

• In an ad campaign without IP address targeting, click or impression logs are concentrated in the same address or address range. In an ad campaign without time targeting, click or impression logs are concentrated in a certain time period of a day. In an ad campaign without operating system or browser targeting, the distribution of operating systems and browsers in the click or impression logs is significantly different from the general population.

(v) Your breach of the representations and warranties made in this Section shall be a material breach and shall be grounds for Temu to immediately terminate your participation in the Program, without limiting any of Temu’s other rights or remedies hereunder or under laws. Temu does not make any representation, warranty, or covenant regarding the amount of traffic, benefits, or income you can expect at any time in connection with the Program, and shall not be liable for any actions you undertake based on your expectations.

Prohibitions

(i)You will not use a link shortening service, button, hyperlink or other ad placement in a manner that makes it unclear that you are linking to Temu’s website.

(ii)You will not include any Referral Link/Code in any content that you place on Temu’s website (for example, in connection with any advertising service available through Temu’s website or in a customer review, forum, wish list, guide, or any other customer-generated context available on Temu’s website).

(iii)You will not modify, redirect, suppress, or substitute the operation of any button, link, or other feature of Temu’s website.

(iv)Popups, Click Unders, transitional page ads, layer ads, Adult, and Incentivized traffic are strictly prohibited.

(v)Traffic from non-approved countries will be void.

(vi)Any advertising method that does not funnel to Temu’s website such as wholesale and drop shipping is strictly prohibited.

(vii)You will not bid on or purchase keywords, search terms, or other identifiers, including the word “Temu” or any other trademark of Temu or its affiliates or variations or misspellings of any of these words or otherwise participate in keyword auctions on any Search Engine if the resulting paid search advertisement is a Prohibited Paid Search Placement (an advertisement that you purchased through bidding on keywords, search terms, or other identifiers or other participation in keyword auctions). You may not submit links to Search Engines to appear in response to a general Internet search query or keyword (i.e., in natural, free, organic, or unpaid search results), to Temu’s website.

(viii)You may not use or display Temu’s names/trademarks in offline material or email (e.g., in any printed material, mailing, SMS, MMS, attachment to email, or other documents, or any oral solicitation).

(ix)You will not use any Program content (data, images, audio, video, logos, etc. associated with this Program), Referral Links/Codes, or others that may associate or cause a sense of association with this Program or the website, on or in connection with any client-side software application (e.g., a browser plug-in, helper object, toolbar, extension, component, or any other application except for those approved by Temu, executable or installable by an end user) on any device, including computers, mobile phones, tablets, or other handheld devices, etc.

(x)You will not intercept, record, redirect, read, interpret, or fill in the contents of any electronic form or other material submitted to Temu by any person or entity.

(xi)You may not use doorway pages to optimize rankings for one or more specific search results and redirect visitors to another website or page.

• You will not use incorporation of keywords or links that are invisible or illegible to users (e.g., text the same color as the background, zero font size, or elements hidden via CSS) but intended for search engines. Media Partner and New Influencers will not load metadata, body content, or Alt tags with irrelevant or repetitive keywords ("Keyword Stuffing") in an unnatural manner.

• You will not place promotional content or Referral Links/Codes on high-authority third-party domains (e.g., .edu, .gov, or reputable news sites) without authorization. This includes, but is not limited to, the exploitation of security vulnerabilities or the abuse of public forums and comment sections

• You will not use automated or manual methods to flood third-party platforms (including but not limited to blogs, forums, and social media) with identical or substantially similar content incorporating Referral Links/Codes. Such activities, especially when conducted for the purpose of capturing search traffic or manipulating search engine rankings, are considered a material breach of this agreement.

(xii)You may not push emails or messages without Temu’s prior consent. You may not use false or misleading words or promotional terms in emails and messages.

(xiii)You may not track repeat visits to Temu’s website without making a purchase to serve retargeting ads to potential buyers.

(xiv)Forbidden types of traffic include but not limited to brand-bidding, TM+, adult, paid search, spam e-mail, clickunder/ popunder, doorways, incentive, spam SMS/Messenger, auto-redirect, retargeting, pop-up. Temu shall be not obligated to pay for any Affiliate Benefits for forbidden types of traffic.

(xv)You represent and warrant that there is and will be no forbidden types of traffic (as set out in this Policy) in any form when you are participating in the Program as stipulated in this Policy. You acknowledge that Temu has the right to determine whether you violate this Section based on Temu's sole discretion. If Temu finds any form of forbidden types of traffic during or beyond the term of this Policy, you shall be deemed have breached the Policy and Temu shall, notwithstanding any other provision of this Policy, have recourse to any and all remedies at law and additionally the right to seek for specific performance and other injunctive and equitable relief. In relation to forbidden types of traffic, Temu shall have the right to, in Temu’s sole and absolute discretion, terminate or suspend your participation in the Program and/or not to issue any Affiliate Benefits (that is, such fees/rewards related to forbidden types of traffic will not be included in the total Affiliate Benefits amount) regardless of whether it is caused by you, and Temu shall, notwithstanding any other provision of this Policy, have recourse to any and all remedies at law and additionally the right to seek for specific performance and other injunctive and equitable relief for such breach of contract. If such Affiliate Benefits have already been withdrawn/used, Temu shall have the right to directly deduct from any amount to be issued to you or request a refund of such Affiliate Benefits from you.

(xvi)You will not cloak, hide, spoof, or otherwise obscure (i) the URL of your Site(s) containing any Referral Link (including by use of redirecting links); and/or (ii) the user agent of any application in which the content of the Program (data, images, audio, video, logos, etc. associated with this Program) is displayed or used, in a manner that prevents us from reasonably determining the site or application from which a customer clicks through such referral link to Temu application/Temu website.

(xvii)You will not interfere with, improperly influence, mislead, or deceive any end user in order to induce them to click on a Referral Link.

(xviii)You will not use any form of advertisements that impersonates Temu or misrepresents that the advertisement was officially endorsed by Temu.

(xix)You will not post together with the Referral Link any random and/or irrelevant content that does not promote Temu or the products sold on Temu (including, but not limited to, fake promotions, entertainment news, and clickbait product reviews).

(xx)You will not use multiple accounts to earn any Affiliate Benefits in the Program. If we detect that multiple accounts are registered or controlled by the same Affiliate, we may, at our discretion, designate one account as the primary account and suspend or terminate any other related accounts. Temu shall not be obligated to issue or pay for any Affiliate Benefits earned through such terminated accounts.

Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify and hold us, our parents, subsidiaries, affiliates, directors, officers, agents, employees, suppliers, licensors and partners (each, a “Temu Party” and collectively, the “Temu Parties”) harmless from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or in connection with any third-party claims relating to: (a) your participation in the Program; (b) your violation of this Policy; (c) your violation of any rights of another party, including without limitation any copyright, property, or privacy right or any third-party agreement; or (d) your violation of any applicable laws, rules, or regulations. In the event of such a claim, suit, or action (“Claim“), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations under these Terms).

We reserve the right, at our own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you will fully cooperate with us in asserting any available defenses.

You agree that the provisions in this section will survive any termination of your Account, the Policy and/or your access to the Program.

Publicity/Usage Rights

Except to the extent prohibited by applicable law, participation in the Program and/or receipt or use of any Affiliate Benefits earned in this Program constitutes your consent for Temu to use and publish the username and profile picture of your Temu account for the purposes of this Program in the country/region where the you are located in perpetuity without further notification.

You hereby grant to Temu a non-exclusive, worldwide, irrevocable, fully paid-up, and royalty-free right and license to use, reproduce, repost, adapt, publish, translate, distribute, transmit, share, and display any and all posts, materials, photos, videos, and content that you post, publish, or make publicly available in connection with the Temu Affiliate Program (“Affiliate Content”) in Temu’s sole discretion, including, without limitation, your name, nickname, blog name, user handle, photo, image, and social media avatar and/or other likeness in connection with such Affiliate Content in perpetuity on any and all media, including, without limitation, internet and digital media, including, without limitation, Temu’s owned and operated social media channels and platforms, including, without limitation, Facebook, Instagram, Twitter, Snapchat, YouTube and TikTok. You further agree that Temu shall have the rights to “whitelist” and/or boost the Affiliate Content on its social media platforms and amplify and promote the Affiliate Content via paid media, including, without limitation, via sponsored, promoted, and/or paid posts, and you agree to provide Temu with any applicable permissions that it requires to do so. You represent and warrant that (i) you have all necessary rights, licenses, and permissions to grant all licenses and other rights in this Policy; (ii) the Affiliate Content complies with all applicable laws and regulations; and (iii) the Affiliate Content does not infringe the intellectual property rights of Temu or any third party.

Term and Termination

In its sole and absolute discretion, Temu may cancel, change, suspend, or modify any aspect of the Program and/or any Balance or Affiliate Benefits at any time, without notice. Temu may, in its sole and absolute discretion, terminate or suspend your participation in the Program for any reason, including, without limitation, breach of this Policy or for taking any actions that are inconsistent with the intent of this Policy.Temu may close accounts that remain inactive for a defined period. An account shall be considered inactive if it records no commission income and maintains a balance below the minimum threshold specified by Temu. Upon closure, any remaining balance below the minimum threshold will be forfeited, and you may rejoin only by submitting a new application.Temu reserves the right in its sole discretion to prohibit your participation in any aspect of the Program or change the Balance or Affiliate Benefits irrespective of the value if Temu deems or suspects that you have engaged in or have attempted to engage in any of the following: (a) acting in violation of this Policy; or (b) damaging, tampering with or corrupting the operation of the Program or Temu; or (c) acting with intent to annoy, harass or abuse any other person; or (d) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behavior or activity; (e) posting your referral code as in a comment under any videos or posts on any platform; or (f) activity deemed in the sole discretion of Temu to be generally inconsistent with the intended operation of the Program. Any decision Temu makes relating to the termination or suspension of your participation in the Program shall be final and binding in all respects. Temu shall be the sole arbiter in determining abuse, fraud, or breach of this Policy or the intent of this Policy.

Disclaimers

We make no express or implied warranties or representations with respect to the Program or any products/benefits delivered through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage).

Privacy

The personal information collected, processed and used as part of the Program will be used in accordance with Temu Member Privacy Policy. Temu and/or its service providers may contact you about your participation in the Program.

Publicity and Confidentiality

You shall not create, publish, distribute, make or permit any public announcement of this Policy or anything related to the performance of this Policy (including, but not limited to, any press release, client list, screen shot, advertisement or any promotional material) without first submitting such material to us and receiving our written approval, which we may withhold in our sole discretion.

Except as otherwise provided in this Policy or with our prior written consent, you agree that all information and materials made available by or on behalf of us hereunder and/or otherwise arising from or in connection with the Program that is not generally known or available to the public through a source or sources other than you or your Affiliates, or that you should reasonably know or assume is confidential, including, without limitation, the terms of this Policy, our business and financial information, our customer lists, customer information, and customer purchase history, and our pricing and sales information (“Confidential Information”), shall be and remain the property of us. You agree and acknowledge on your behalf and on behalf of all your representatives that they shall have no proprietary interest in any of the Confidential Information, and will not disclose, communicate or publish the Confidential Information to any person or entity, nor use, except as authorized by this Policy or otherwise in writing by us, any of the Confidential Information that you or your representatives produce, receive, acquire or obtain. You shall take (and cause all your representatives to take) all necessary steps to ensure that the Confidential Information is securely maintained.

General

Assignment. You may not assign, delegate, or transfer this Policy, or your rights and obligations hereunder, to any other person in any way (by operation of law or otherwise) without our prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. We may transfer, assign, or delegate this Policy and our rights and obligations hereunder to any other person without your consent.

Unforeseen Events. We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Waiver.Our failure to respond to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches.

Severability. If any provision of this Policy is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that this Policy shall otherwise remain in full force and effect and enforceable.

Entire Agreement.This Policy is the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between the parties with respect to its subject matter.

Exhibit A - Affiliate Earnings Terms and Conditions

1.Your Commission are calculated based on the actual payment amount for the Qualifying Orders at the Commission Rate displayed on the Program page. You will only be eligible to make any withdrawals after you have submitted the required documents and information as part of the Traffic Verification Process for our review.

2. Your Affiliate Earnings will be rounded to 2 decimal places.

3. We will verify your Commission for a Qualifying Orders after the order delivery has been confirmed. The verification will take 30 days. During this period, the Commission will be shown as “Pending” and cannot be withdrawn until it is verified and shown as “Available.”

4. Only Affiliate Earnings shown as your “Available Earnings” are eligible for withdrawal..You can withdraw the Affiliate Earnings in your “Available” account only if the balance is over CA$20. No withdrawal is allowed if the balance is less than CA$20. The full balance of your “Available” account must be withdrawn; partial withdrawals are not permitted.

5. If the Qualifying Order is canceled or returned, the Commission and other relevant Affiliate Earnings will be deducted accordingly.

6. Affiliate Earnings Limits and Monthly Review

(i) Order Limit:You may earn up to CA$100 Commission per Qualifying Order and CA$13,000 Affiliate Earnings per calendar month.

(ii) Initial Monthly Limit and Automatic Review:Your Affiliate Earnings are subject to an initial limit of CA$1,500 in "Available Earnings" per calendar month. When your accumulated "Available Earnings",regardless of any withdrawals made during that period, reach this CA$1,500 threshold within a single calendar month, an internal review will be automatically triggered, and a temporary hold will be placed on your account. During this hold: (a) New Affiliate Earnings will not be credited to your account balance (both pending balance and "Available Earnings" balance); and (b) Your existing pending balance will cease verification and will not be transferred to your "Available Earnings" balance (together, “Hold”).

(iii) Review Outcome:Following the review, Temu will, at its sole discretion, determine the outcome.

(a) Approval: If your account review is approved, Temu may increase the "Affiliate Earnings" limit for that calendar month to a new limit determined by us. The Hold will be lifted, and all earnings accrued during the hold in that calendar month will resume normal processing until such new limit is reached. If you reach the new limit, you will not earn any more "Affiliate Earnings" for the rest of that calendar month.

(b) Rejection and Termination:If your account review is rejected, Temu reserves the right, in its sole discretion, to terminate your participation in the Program. Temu further reserves the right, based on the findings of the review, to adjust, cancel, or forfeit any "Pending" or "Available Earnings" and/or to limit, permit,or deny withdrawals, irrespective of any balance in your account.

(iv) Monthly Cycle: The CA$1,500 initial limit and the review process as described in this Section 6 will reset on the first day of each calendar month for all active Affiliates. Affiliates whose partnerships are terminated following a review rejection will not be eligible for future participation.

7. Withdrawal Methods and Limits

Temu may offer one or more withdrawal methods (e.g., PayPal, depending on your country of residence), each of which is subject to specific daily withdrawal limits and transaction caps. For example:

• PayPal: Up to CA$1,000 for your first withdrawal. Up to CA$5,000 per day; max 5 withdrawals per day.

8. If the withdrawal method you choose involves different currencies, the applicable exchange rate shall be subject to the rate displayed on the withdrawal page at the time of withdrawal.

9. To withdraw the Affiliate Earnings in your “Available” account as cash, you need to provide and verify your PayPal account and mobile phone number. It may take a few days to receive your payment, depending on PayPal’s processing time.

If you are designated as a promoter for a specific channel (e.g., a Facebook Group admin), you acknowledge and agree that commissions will only be awarded for New Users and Qualifying Orders that are directly traceable and attributed to the specific channel link(s) you have registered and have been approved by Temu. Temu's tracking and attribution data shall be final and conclusive in determining the source of traffic and eligibility for commission.

Exhibit B – Endorsement Guideline

Temu believes in full, fair and effective disclosures of material facts relating to the Affiliates’ relationship with Temu in accordance with applicable laws, regulations and guidelines, such as the Canadian Code of Advertising Standards, Interpretation Guideline #5 and Influencer Disclosure Guidelines, which are available at https://adstandards.ca/resources/influencer-marketing/

1. Disclose Connection to Temu - When posting about the Temu or the Temu’s products or services, Affiliate must clearly disclose Affiliate’s “material connections” with the Temu, including the fact that Affiliate was afforded any consideration from the Temu or is being paid for a particular service. “Material connections” are defined as any connection between an Affiliate and a Temu that could affect the credibility consumers give to the Affiliate’s statements. Important examples of “material connections” include payments or other monetary compensation, loaner or free products and services, gifts and rewards, special access privileges and other incentives provided by a Temu to an Affiliate.

2. Maintain Clear and Prominent Disclosure - The above disclosure should be made in close proximity to any statements that the Affiliate makes about the Temu or the Temu’s products or services. This disclosure should be clear and prominent enough for consumers to view it when they are reading Affiliate’s posts. This means that the disclosure should not be buried behind links or in the Terms and Conditions (or in similar documents). In addition, the consumer should not be required to click on, scroll down or mouse over a link in order to view the disclosure. This also means that the disclosure should not be placed below the “more” button or in a “jumble of hashtags” that readers are not likely to read. When determining where to place a disclosure, consider the following:

• A disclosure is required regardless of the space limitations of the medium (e.g., X(Twitter), Instagram), where the disclosure can be made via hashtags, such as #Temued, #paid or #ad.

• Hashtags such as #partner or #thanks without further context are unlikely to be considered sufficient.When in doubt, please consult Temu.

• For Instagram, the disclosure should appear in the first two (2) lines of the post and above the “more” button.

• Please do not rely solely on social media “paid partnership” or “handshake” tools. A clear and conspicuous disclosure must be included in the copy or, in the case of Instagram Stories or Snapchat Stories, superimposed on the image. When in doubt, please consult Temu.

• For longer posts (e.g., blogs), the disclosure should appear closer to the top of the post and not be buried at the bottom of the post or after blocks of text that consumers are unlikely to read.

• On Snapchat, TikTok and Instagram stories, the disclosure can be superimposed over the visuals in a clear and conspicuous manner.

• In video or YouTube posts, the disclosure should appear in the video itself at the beginning of the video (note that this disclosure may also appear in the description box “above the fold” provided it also appears in the video itself).

• Visual disclosures must stand out and be on the screen long enough to be noticed, read and understood.

• As a best practice, include multiple disclosures throughout the course of the video (or one continuous disclosure). On YouTube, a visual disclosure that is obscured by ads will not be clear and conspicuous.

3. Give Your Honest and Truthful Opinions – Affiliate’s statements should always reflect Affiliate’s honest and truthful opinions and actual experiences. However, we do ask that all blog entries, Facebook posts, tweets, and/or comments be in good taste and free of inappropriate language and/or any content that promotes bigotry, racism or discrimination against an individual based on race, gender, religion, nationality, disability sexual orientation or age.

4. Only Make Factual Statements That Are Truthful and Can Be Verified - In an effort to accurately relay brand names, product attributes and program information, please refer to all Temu-provided materials, if available, when developing content pertaining to Temu or Temu’s products. Most importantly, Affiliate should only make factual statements about Temu or Temu’s product’s characteristics or quality which Affiliate knows for certain is true and can be verified. For example, Affiliate should not make statements about the performance of a product unless Affiliate has support for such claims.

5. Respect Intellectual Property Rights - Intellectual Property is the group of legal rights to works that people create or invent. Intellectual property rights typically include copyright, trademark, and trade secret rights, as well as the right to use someone's name, likeness or voice. Examples include photographs, videos, music, trademarks/logos, personal names/likenesses (including celebrities’ names/likenesses), and writings. Affiliate should never post or share any content that violates or infringes the intellectual property rights of any third party. If Affiliate is unsure about a work, particularly in instances where a work includes a third-party’s trademark/logo, or music, film or television clips, or a celebrity’s name, photo or image, Affiliate should check with Temu before using the work. A good rule of thumb is, if in doubt, do not post it.

6. Comply with other policies and laws – Affiliate should comply with all applicable laws, rules and regulations, as well as the terms, conditions, guidelines and policies of any social media platform or service that Affiliate uses in connection with the Services.

7. Do not alter – Affiliate should not alter or modify any logo, image, copyright or trademark provided by the Temu if Affiliate chooses to include such item in a blog entry, post or tweet.

8. Do not be Inappropriate - Affiliate should not associate Temu or any of Temu’s products or services with any inappropriate or controversial content that would reflect poorly upon Temu or the Program.

9. Do not exhort to children – Affiliates must avoid making statements in Posts which encourage children to buy, or persuade an adult to buy for them, any Product or Service.

10. Respect Confidentiality - Affiliate may learn of confidential information that is not yet public. Affiliate shall take all necessary precautions in handling the confidential information and limit disclosures on a strict need-to-know basis. In the event Affiliate has any questions regarding the confidentially of specific knowledge obtained at the event, Affiliate should reach out to the appropriate contact at the Temu before sharing the information.

PLEASE NOTE THAT TEMU RESERVES THE RIGHT TO MONITOR AFFILIATE’S COMPLIANCE WITH THESE GUIDELINES AND TO TERMINATE AFFILIATE’S PARTICIPATION IN THE PROGRAM IN THE EVENT OF ANY NONCOMPLIANCE.
